Sale of shares in TE Brestanica d.o.o. and TE Šoštanj d.o.o.

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange d.d. and the ZTVP-1 (Official Gazette of the Republic of Slovenia, No. 56/99), KD Group, d.d., Ljubljana, hereby issues the following announcement:

KD Holding, finančna družba, d.d., Celovška cesta 206, Ljubljana, hereby informs the public that it has concluded agreements with Holding Slovenske elektrarne d.o.o. for the sale and purchase of a 19.47per cent of the shares in Termoelektrarna Brestanica d.o.o. and 18.27 per cent of the shares in Termoelektrarna Šoštanj d.o.o. KD Holding d.d. received the first instalment of the purchase price on 28 December 2005, and the purchaser will become the holder of the shares covered by both agreements on the date of payment of the full purchase price.

From 28 December 2005 until further notice, the company will also publish this notice on its website www.kd-group.si under ‘Notices’ in the ‘Public Announcements’ section.
