Notice regarding the sale of shares in Dnevnik d.d. and the withdrawal of the lawsuit and appeals

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange d.d. and the Securities Market Act (ZTVP-1) (Official Gazette of the Republic of Slovenia, No. 56/99), KD Group, d.d., Ljubljana, hereby issues the following announcement:

Pursuant to Article 66 of the Securities Market Act and Article 41 of the Rules of the Ljubljana Stock Exchange d.d., KD Holding, a financial company, d.d., Ljubljana hereby informs the public that on 14 January 2004 it sold 64,841 shares in the issuer Dnevnik d.d. to Styria Medien AG, Graz, representing 19.5 per cent of the issuer’s shares.

At the same time, we hereby inform the public that on 16 January 2004, KD Holding d.d. withdrew its claim against Dnevnik d.d. seeking a declaration of nullity and the annulment of the resolutions of the general meeting held on 28 August 2003, and has withdrawn its complaint regarding the management board’s obligation to provide information, as well as its complaint concerning the proposal to appoint a special auditor.
