KD Group, financial company, d.d., Dunajska cesta 63, Ljubljana (hereinafter: KD Group), in connection with the notice from the Ljubljana Stock Exchange d.d. regarding the temporary suspension of trading in KD Group shares with cumulative preferential participation shares, ticker symbol KDHP (hereinafter: KDHP shares) dated 11 November 2013, hereby informs the public of the reason for the temporary suspension of trading in KDHP shares.
As published on 7 November 2013 on the SEOnet website and the KD Group website, the resolution of the 18th General Meeting of Shareholders of KD Group, adopted under item 4 of the agenda of the general meeting of shareholders. With a view to implementing the aforementioned resolution, on 8 November 2013, KD Group filed an application with the Registry Court in Ljubljana for the entry of a reduction in share capital through the withdrawal of KDHP shares from the court register and commenced other procedures related to the implementation of the aforementioned resolution.
Following the entry of the reduction in share capital in the court register, KD Group will issue an order to KDD to delete shares with the ticker symbol KDHP from the central securities register and will subsequently issue an order to the Ljubljana Stock Exchange to delist the shares from the organised market. To avoid any settlement transactions that might take place after the date of the registration court’s decision on the reduction of the share capital and the removal of KDHP shares, trading in KDHP shares has been temporarily suspended, until the date of the delisting of KDHP shares from the organised securities market of the Ljubljana Stock Exchange.
