Notice regarding the granting of authorisation by the Bank of Slovenia for the reorganisation of KD BPD into KD Bank

In accordance with the provisions of the Rules of the Ljubljana Stock Exchange, d.d., Ljubljana, and the applicable legislation, KD Group, d.d., Ljubljana hereby issues the following announcement:

KD Group, a financial company, d.d., Celovška cesta 206, Ljubljana, hereby informs the public that on 2 December 2008, the Bank of Slovenia ruled on the application for the establishment of KD Banka d.d. and, in this context, granted the following licences:

- to KD BPD d.o.o., a licence to provide banking and financial services;
- to KD Group d.d., a licence to acquire a qualifying holding (100 per cent) in the future KD Banka d.d.;
- to Mr Aljoša Tomaž: authorisation to act as Chief Executive Officer of the future bank;
and - to Ms Vera Dolinar: authorisation to act as Deputy Chief Executive Officer of the bank.

The purpose of the procedure for the conversion of KD BPD d.o.o. into KD Banka d.d., which will be finalised upon the entry of the transformation in the court register, is to implement the strategy of the KD Group, under which customers will be provided with a comprehensive range of financial services under one roof.

This notice will also be published on the company’s website www.kd-group.com under ‘Public Announcements’ from 2 December 2008 onwards.
