Notice regarding court decisions received

KD Group, financial company, d.d., Dunajska cesta 63, Ljubljana, in relation to the public announcement ‘Notice regarding the receipt of a decision by the Registry Court’, published on 10 January 2012, hereby informs the public that it has received a decision from the District Court in Ljubljana, whereby the registration court has suspended the procedure for the registration of the general meeting’s resolution regarding authorised capital and the proposal for the registration of an amendment to the Articles of Association dated 31 8 February 2011, and the decision of the District Court in Ljubljana, by which the court suspended proceedings in a commercial dispute arising from a claim brought by Marles d.d. challenging the resolution of the 16th General Meeting of Shareholders regarding amendments to the company’s Articles of Association.

The proceedings for entry in the court register and the proceedings in the commercial dispute were suspended due to the withdrawal of the application for the entry of amendments to the Articles of Association in the court register by KD Group d.d. and the withdrawal of the action by Marles d.d., which both companies had filed on the basis of the resolution of the 17th General Meeting of Shareholders of KD Group d.d. on 7 June 2012, by which the shareholders revoked the resolution of the 16th General Meeting of Shareholders of KD Group d.d. regarding amendments to the company’s Articles of Association and authorised capital.

This notice will also be published on the company’s website http://www.kd-group.com/ under ‘Public Announcements’ from 23 August 2012 onwards.
