Notice regarding a qualifying holding in accordance with the ZPre-1 Act

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange d.d. and the ZTVP-1 (Official Gazette of the Republic of Slovenia, No. 56/99), KD Group, d.d., Ljubljana hereby issues the following announcement:

KD Holding, finančna družba, d.d., Celovška 206, Ljubljana, in accordance with the fourth paragraph of Article 10 of the Takeovers Act (Official Gazette of the Republic of Slovenia, No. 79/06 – ZPre-1), hereby announces that we have received the following notification from Nova Ljubljanska banka d.d., Ljubljana, regarding a qualifying holding in accordance with ZPre-1:
“Pursuant to the first paragraph of Article 77 of the Takeovers Act (Official Gazette of the Republic of Slovenia, No. 79/2006; ZPre-1), we hereby inform you that, as at 11 August 2006, Nova Ljubljanska banka d.d. holds more than 5 per cent of the preference shares (KDHP) of the issuer KD Holding d.d., Ljubljana, which, when voting on matters where, in accordance with the Articles of Association and the law, preference shares also carry voting rights, represents more than 5 per cent of the voting rights.”

The company will also publish this notice on its website www.kd-group.si from 12 September 2006 until further notice, in the ‘Notices’ section under the heading ‘Public Announcements’.
