Notice regarding a commercial dispute that has been finally resolved

In accordance with the provisions of the Rules of the Ljubljana Stock Exchange, d.d., Ljubljana, and the applicable legislation, KD Group, d.d., Ljubljana, hereby publishes the following announcement:

KD Holding, finančna družba, d.d., Celovška cesta 206, Ljubljana, hereby announces that it has received the judgement of the District Court in Ljubljana, ref. no. V Pg 76/2006, in which the court ruled in the commercial dispute brought by the claimant, KS2 Naložbe d.d., Dunajska 9, Ljubljana, against the defendant KD Holding d.d., concerning a challenge to the resolutions of the general meeting of shareholders of KD Holding d.d. dated 30 August 2006.

In the aforementioned judgment, the court dismissed the claimant’s claim, which sought the annulment of the resolutions of the general meeting of KD Holding d.d. dated 30 August 2006 under the second item on the agenda, item 2.2. (distribution of retained profits), and that the court subsequently adopt an amended resolution in accordance with the claimant’s proposal, and the annulment of the resolution under the fourth item on the agenda (authorisation of the management board to purchase own shares) and order the claimant to reimburse the costs of the proceedings.

The judgment became final on 26 October 2007.
