Notice of the incorporation of KD Kapital, financial company, d.o.o.

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange d.d. and the ZTVP-1 (Official Gazette of the Republic of Slovenia, No. 51/06, UPB 2), KD Group, d.d., Ljubljana, hereby issues the following announcement:

KD Holding, financial company, d.d., Celovška cesta 206, Ljubljana, hereby informs the public that it has received a decision regarding the registration of the incorporation of the limited liability company KD Kapital, financial company, d.o.o., (hereinafter: KD Kapital d.o.o.), of which KD Holding, finančna družba, d.d., Ljubljana, is the sole shareholder, in the court register of the District Court in Ljubljana.

The principal activity of KD Kapital d.o.o. is holding company activities. The share capital of KD Kapital d.o.o. amounts to EUR 2,000,000.00, whilst its total capital amounts to EUR 44,760,334.03, which was provided by KD Holding d.d. partly in cash (EUR 20,000.00) and partly as a contribution in kind. The subject of the contribution in kind comprises business interests and shares in companies which do not constitute strategic investments and whose activities are not of a financial nature. The audited total value of the contribution in kind amounts to EUR 44,740,334.03 and has been confirmed by the audit firm PriceWaterhouseCoopers, d.o.o., Ljubljana, which issued a certified auditor’s report in accordance with the Companies Act (ZGD-1, Official Gazette of the Republic of Slovenia, No. 42/06 (60/2006 – corr.)).

Among the more significant investments that were transferred are the following companies: ČZD Kmečki glas d.o.o., Elektro Ljubljana d.d., Gea College d.d., Globtour d.o.o., Mlekarna Celeia, d.o.o., Nama d.d., Radio Kranj d.o.o., Semenarna Ljubljana d.d., SKI MAR d.o.o., Vrtnarstvo Celje d.o.o., Žičnice Vogel, d.d. and Žito d.d.

The company was established with the aim of implementing the strategy of the KD Holding Group, within which KD Holding d.d. , as the parent company, establishes a more transparent organisational structure by separating the management of strategic and other investments.
