Counter-proposals to the resolutions of the general meeting

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange d.d. and the ZTVP-1 (Official Gazette of the Republic of Slovenia, No. 56/99), the company’s management announces counter-proposals to the resolutions of the general meeting held on 13 October 2005.

The Management Board of KD Holding, finančna družba, d.d. (hereinafter: KD Holding d.d.) hereby announces that it has received, from the shareholder KD Group d.d., Celovška cesta 206, Ljubljana, a counter-proposal to the draft resolution under item 3 of the agenda of the 8th General Meeting of Shareholders of KD Holding d.d., convened for 13 October 2005, the notice of which was published in the newspaper Dnevnik, on the SEOnet website and on the company’s website at www.kd-group.si on 12 September 2005.

The content of the notice is available in the attachment. The company published the counter-proposal in the Dnevnik newspaper on 22 September 2005; from that date until further notice, it will also be published on the company’s website at www.kd-group.si.
