Audited Annual Report for 2008 and List of Transactions with Related Parties for 2008

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange, d.d., Ljubljana, and the applicable legislation, KD Group, d.d., Ljubljana hereby issues the following announcement:

Pursuant to Article 110 and the first paragraph of Article 111 of the Financial Instruments Market Act, KD Group, a financial company, d.d., Celovška cesta 206, Ljubljana, hereby publishes the audited annual report of KD Group, finančna družba, d.d. and the audited annual report of the KD Group for the year 2008, as adopted by the company’s management board. As at the date of this publication, the Supervisory Board has not yet approved the audited annual reports for 2008. The company will publish information regarding the adoption of the annual reports in accordance with the law within 15 days of the date on which the Supervisory Board adopts the annual reports.

Pursuant to Article 7 of the Act on the Legal Successors of Authorised Investment Companies, Article 5 of the Decision on the Reporting of Legal Successors of Authorised Investment Companies and Article 106 of the Financial Instruments Market Act, KD Group d.d. hereby publishes a list of transactions it entered into with related parties during the 2008 financial year.

The information contained in this notice will also be published on the company’s website www.kd-group.com from 30 April 2009 onwards, and will remain available for at least five years from the date of publication.
