Acquisition of shares in Dela d.d., Ljubljana

In accordance with the provisions of the Rules of the Ljubljana Stock Exchange d.d. and the ZTVP-1 (Official Gazette of the Republic of Slovenia, No. 56/99), KD Group, d.d., Ljubljana, hereby issues the following announcement:

KD Holding, finančna družba, d.d., Celovška cesta 206, Ljubljana, hereby informs the public that, pursuant to a contract concluded on 18 November 2005 between KD Holding d.d., Ljubljana, and Infond Holding d.d., Maribor, on 23 November 2005, it acquired 133,492 ordinary shares in the issuer Delo, časopisno in založniško podjetje, d.d., Ljubljana, with the ticker symbol DELR, and thus became the holder of a 19.99 per cent stake in the company.

KD Holding d.d. wishes to further increase its ownership and management stake in Delo, and therefore, on 21 November 2005, in accordance with the provisions of the Media Act, submitted an application to the Ministry of Culture of the Republic of Slovenia to obtain consent for a controlling interest of twenty per cent or more.
The company will also publish this notice on its website www.kd-group.si from 24 November 2005 until further notice, in the ‘Notices’ section under the heading ‘Public Announcements’.
