Receipt of an AZN order to remedy the breaches relating to the resolutions adopted by the general meeting of KD d.d.
18.09.2012KD, financial company, d.d., Dunajska cesta 63, Ljubljana, in accordance with Article 124 of the Financial Instruments Market Act, hereby informs the public that it has received the following notifications regarding changes to significant shareholdings in KD d.d., with the ticker symbol SKDR (hereinafter: SKDR shares):
The Association for Business Management and Real Estate Management ‘MIG’ AD, Podgorica, Ul. Slobode 60/2, Podgorica, Montenegro (hereinafter: MIG ad) notified the company on 5 September 2012 that MIG ad had disposed of 9,800 SKDR shares on 3 September 2012. Prior to the transaction, MIG ad held 12,444 SKDR shares, representing 6.675 per cent of SKDR’s voting rights; and following the transaction, it holds 2,644 SKDR shares, representing 1.418 per cent of SKDR’s voting rights.
Sotiria, d.o.o., Litostrojska cesta 52, 1000 Ljubljana, notified the company on 5 September 2012 that it had acquired 9,800 shares in SKDR on 3 September 2012. Prior to the transaction, Sotiria, d.o.o. did not hold any SKDR shares; following the acquisition, Sotiria, d.o.o. holds 9,800 SKDR shares, representing 5.256 per cent of SKDR’s voting rights.
Avra, d.o.o., Kozlarjeva pot 3a, 1000 Ljubljana, notified the company on 5 September 2012 that, as the owner of 15,513 SKDR shares, representing 8.32 per cent of all SKDR shares, had concluded, on 4 September 2012, an agreement to establish a call option covering up to 10,284 ordinary SKDR shares. In the event of the call option being exercised, Avra d.o.o. will be the seller of the SKDR shares. The call option is valid for one year, with the option to extend. Upon exercise of this option, Avra d.o.o. will dispose of 5.52% of SKDR’s shares.
KDH Naložbe d.o.o., Vogelna ulica 4, 1000 Ljubljana, notified the company on 5 September 2012 that on 4 September 2012 it had concluded a call option agreement, under which KDH Naložbe d.o.o. is the option holder, whilst the counterparty (the option writer) is Avra d.o.o. The subject of the call option is up to 10,284 shares in SKDR, and the call option is valid for one year, with the possibility of extension. At the time the option agreement was concluded, KDH Naložbe d.o.o. held 9,327 SKDR shares, representing 3.93 per cent of all the company’s shares; upon full exercise of the option, the company would hold 17,611 SKDR shares, representing 9.45 per cent of all SKDR shares.
Sergej Racman, a member of the Management Board, notified the company on 6 September 2012 that on 31 August 2012 he had sold 200 SKDR shares, representing 0.11 per cent of the voting rights attached to SKDR shares. Following the completion of the transaction, Sergej Racman is no longer a holder of SKDR shares.
